TERMS AND CONDITIONS

1. ACCEPTANCE OF TERMS
Welcome to GoodStead, Inc. ("GoodStead," "we," "us," or "our"). These Terms and Conditions ("Terms") govern your access to and use of the GoodStead website located at www.goodsteadmc.com (the "Site") and the services we provide (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

2. DESCRIPTION OF SERVICES
GoodStead is a membership-based home concierge service that connects homeowners in Monmouth County, New Jersey with vetted, local home service professionals ("Service Partners"). We facilitate connections between members and Service Partners but are not a party to any agreements, contracts, or transactions between members and Service Partners.
Our Services include:

  • Access to our network of vetted Service Partners

  • A request submission system for home services

  • Customer support to facilitate connections

  • A dedicated GoodStead email and workspace powered by Google
     

3. MEMBERSHIP
3.1 Eligibility
You must be at least 18 years of age and have the legal capacity to enter into contracts to become a GoodStead member. Our Services are currently available only to residents in the following Monmouth County areas: Rumson, Fair Haven, Little Silver, Oceanport, Monmouth Beach, and Sea Bright.
3.2 Membership Fee
The annual membership fee is $500 per year. This fee is non-refundable except as required by law. Membership fees are subject to change with thirty (30) days' notice to active members.
3.3 Membership Benefits
Your membership includes:

  • Unlimited service requests during your membership period

  • Access to our vetted network of Service Partners

  • Support from our Service Partnership Team

  • A dedicated GoodStead email address and Google workspace

3.4 Membership Renewal
Memberships automatically renew annually unless you cancel prior to your renewal date. You will be notified at least thirty (30) days before your renewal date. To cancel, contact us at hello@goodsteadmc.com.

4. SERVICE PARTNER RELATIONSHIPS
4.1 Independent Contractors
All Service Partners are independent contractors and are not employees, agents, or representatives of GoodStead. We do not employ or control Service Partners.
4.2 No Guarantee of Service
GoodStead facilitates connections but does not guarantee that:

  • Any Service Partner will accept your request

  • Service Partners will provide services at any particular price

  • Services will be available within any specific timeframe

  • Service quality will meet your expectations

4.3 Direct Relationship
All contracts, agreements, payments, and services are directly between you and the Service Partner. GoodStead is not a party to these arrangements and assumes no liability for the actions, performance, quality, or pricing of Service Partners.
4.4 Selection of Service Partners
Service Partners cannot pay to be recommended or featured in our network. Recommendations are based on our evaluation of qualifications, experience, availability, and fit for your specific request. We do not guarantee that our recommendations represent the best available option in all circumstances.

5. PRICING AND PAYMENT
5.1 Membership Payments
All membership fees are processed securely through our payment processor. You agree to provide accurate payment information and authorize us to charge your payment method for membership fees.
5.2 Service Partner Fees
GoodStead does not set, negotiate, or collect fees for services provided by Service Partners. All pricing, payment terms, and payment arrangements are directly between you and the Service Partner. You are solely responsible for all payments to Service Partners.
5.3 No Commission or Kickbacks
GoodStead does not receive commissions, referral fees, or kickbacks from Service Partners based on work performed.

6. USER OBLIGATIONS
You agree to:

  • Provide accurate and complete information when submitting service requests

  • Communicate directly and professionally with Service Partners

  • Honor commitments made to Service Partners

  • Pay Service Partners directly for services rendered according to your agreement with them

  • Notify us of any issues or concerns with Service Partners

  • Maintain the confidentiality of your account credentials

  • Not share your membership benefits with non-members

You agree NOT to:

  • Use the Services for any illegal purpose

  • Misrepresent your identity or contact information

  • Harass, abuse, or discriminate against Service Partners

  • Attempt to circumvent our vetting process

  • Use our Service Partners' information for purposes other than obtaining services
     

7. INTELLECTUAL PROPERTY
All content on the Site, including text, graphics, logos, images, and software, is the property of GoodStead or its licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any content without our express written permission.

8. USER CONTENT
By submitting service requests, feedback, or other communications to GoodStead, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, and display such content for the purpose of providing and improving our Services.

9. PRIVACY
Your use of our Services is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy to understand our data collection and use practices.

10. DISCLAIMERS
10.1 Service Quality
GOODSTEAD MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE QUALITY, SAFETY, LEGALITY, OR ANY OTHER ASPECT OF SERVICES PROVIDED BY SERVICE PARTNERS. YOU ENGAGE SERVICE PARTNERS AT YOUR OWN RISK.
10.2 As-Is Basis
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
10.3 No Professional Advice
Information provided through our Services is for general informational purposes only and does not constitute professional advice. You should conduct your own due diligence when engaging Service Partners.

11. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, GOODSTEAD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:
(a) Your use or inability to use the Services; (b) Any conduct or content of Service Partners; (c) Unauthorized access to or alteration of your transmissions or data; (d) Any damage to property or personal injury arising from your use of the Services or engagement with Service Partners.
IN NO EVENT SHALL GOODSTEAD'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID IN MEMBERSHIP FEES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless GoodStead, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:
(a) Your use of the Services; (b) Your violation of these Terms; (c) Your violation of any rights of another party; (d) Your interactions or disputes with Service Partners.

13. DISPUTE RESOLUTION WITH SERVICE PARTNERS
Any disputes regarding services, pricing, quality, or other matters related to work performed are between you and the Service Partner. While we are available to assist in facilitating communication, we are not responsible for resolving disputes or mediating conflicts. You agree to work directly with Service Partners to resolve any issues.

14. TERMINATION
14.1 By You
You may terminate your membership at any time by contacting us at hello@goodsteadmc.com. Termination will be effective at the end of your current membership period, and no refunds will be provided for partial membership periods.
14.2 By Us
We reserve the right to suspend or terminate your access to the Services at any time, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms

  • Fraudulent or illegal activity

  • Abusive conduct toward Service Partners or our team

  • Non-payment of membership fees
     

15. MODIFICATIONS TO TERMS
We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our Site and updating the "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms.

16. MODIFICATIONS TO SERVICES
We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time, including the availability of features, service area, or membership benefits, with or without notice.

17. GOVERNING LAW
These Terms shall be governed by and construed in accordance with the laws of the State of New Jersey, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Monmouth County, New Jersey.

18. ARBITRATION AGREEMENT
Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules. The arbitration shall take place in Monmouth County, New Jersey. You agree to waive your right to a jury trial and to participate in class actions.

19. SEVERABILITY
If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

20. ENTIRE AGREEMENT
These Terms, together with our Privacy Policy, constitute the entire agreement between you and GoodStead regarding the use of our Services and supersede all prior agreements and understandings.

21. NO WAIVER
Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
